Legal Disclosure and Public Notice for  Charitable Donations to LNAA Charitable Foundation “Friends of the Lviv National Academy of Arts”

This public disclosure to make a charitable donation is an official proposal and announcement of the Charitable Organization known as the Charitable Foundation “Friends of the Lviv National Academy of Arts”, identification code 44811477, located at: 81131, Ukraine, Lviv region, Lviv district, Solonka village, 11 Tsentralna St., apartment 32 (hereinafter referred to as “The Charitable Foundation”) represented by President Oleksiy Cherednichenko, acting on the basis of the Charter of the Charitable Foundation (hereinafter referred to as “The Charter”) to an indefinite number of  individuals and legal entities, including but not limited to visitors of the LNAA Website (hereinafter referred to as “The Website”) such that each of these persons and entities are hereinafter referred to as “The Benefactor” to conclude a Charitable Donation Agreement (hereinafter referred to as “The Agreement”), the subject and essential terms of which are set forth below.

The agreement comes into force from the moment it is posted on the Website, is unlimited and may be amended or withdrawn by The Charitable Foundation at any time (prior to its acceptance by The Benefactor) by posting the relevant information on The Website.

The Charitable Foundation may enter into other agreements on the provision of a charitable donation in a different manner and/or on different terms than provided for in this disclosure. The Donor may inquire to The Charitable Foundation to enter into such an agreement.

1.Terms And Definitions:

1.1. Acceptance is the full and unconditional acceptance of this public disclosure by making a money transfer using the payment forms and means posted on The Website, as well as by transferring funds to the accounts of The Charitable Foundation through banks and institutions. The moment of acceptance is the date of crediting funds to any of the accounts of The Charitable Foundation.

1.2. Payment is a voluntary charitable donation (hereinafter referred to as  “Donation”).

1.3. A Donation is a money transfer made by The Benefactor to achieve the goals, objectives, directions and types of activities of The Charitable Foundation in accordance with this Agreement, The Charter, and the Law of Ukraine “On Charitable Activities and Charitable Organizations”.

2. Subject Of The Agreement:

2.1. The subject matter of this Agreement (hereinafter referred to as “The Agreement”) is the gratuitous and irrevocable transfer by The Donor to The Charitable Foundation of funds as a voluntary charitable donation to achieve the goals, objectives, areas and types of statutory activities of The Charitable Foundation.

2.2. Acceptance of The Agreement shall be deemed to be its full and unconditional acceptance by The Benefactor who is performing actions to transfer a charitable donation to The Charitable Foundation. By accepting The Agreement, The Benefactor confirms that he or she agrees with all its provisions, is fully aware of the subject matter of The Agreement and the purpose of collecting Donations. The Agreement shall be deemed enacted from the date of crediting funds to any of the accounts of The Charitable Foundation.

2.3. The Agreement is concluded through The Benefactor’s unconditional and full accession to The Agreement and acceptance of all essential terms of The Agreement.

2.4. The Benefactor and The Charitable Foundation, guided by clauses 2.4.31, 2.4.28 of The Charter, Articles 207, 639, 641, 642 of the Civil Code of Ukraine, Article 7 of the Law of Ukraine “On Charitable Activities and Charitable Organizations”, agree that The Agreement shall be deemed enacted in writing without the Parties signing a physical copy from the moment The Benefactor performs the actions stipulated by The Agreement, which indicates the consent to comply with the terms of the Agreement.

2.5. The Agreement is posted on The Website (https://friendsoflnaa.org) in a freely accessible manner and in a way that ensures that any person applying to the Charitable Foundation is familiarized with the content of this Agreement.

2.6. The Charitable Organization may NOT offer its own terms of The Agreement.

3. Rights and Obligations of the Parties to the Agreement:

3.1. The Charitable Foundation has the right to:

3.1.1. Receive Donations and use them to achieve the goals, objectives, directions and types of statutory activities of the Charitable Foundation in accordance with The Agreement, The Charter and the Law of Ukraine “On Charitable Activities and Charitable Organizations”;

3.1.2. At the request of The Benefactor, provide a report on the Donation received and its use.

3.2. The Benefactor has the right to:

3.2.1. Transfer the Donation to the account of the Charitable Foundation in the manner specified in the Agreement;

3.2.2. Request a report on the use of the Donation. 3.3 The Benefactor agrees that in accordance with Art. 16 of the Law of Ukraine “On Charitable Activities and Charitable Organizations” The Charitable Foundation may use part of the funds received from The Benefactors to finance its administrative expenses within the limits specified by this Law of Ukraine.

3.3. The Benefactor agrees that in accordance with Art. 16 of the Law of Ukraine “On Charitable Activities and Charitable Organizations” The Charitable Foundation may use part of the funds received from The Benefactors to finance its administrative expenses within the limits specified by this Law of Ukraine.

3.4. A donor making a contribution toward a specific project agrees to the redistribution/use of their donation for other Foundation projects (for instance, if the particular fundraising goal is met or is no longer relevant).

4. Location and Timing of the Donations Collected:

4.1 Voluntary charitable donations may be collected in any country of the world.

4.2. The collection of Donations continues until the liquidation of The Charitable Foundation, unless another term is determined by The Foundation.

4.3. All financial contributions will be used exclusively for the announced projects based on their priority. If a project is completed, any unused funds will be directed towards another project within the framework of the foundation’s approved programs. 

5. The procedure for providing public access to The Charitable Foundation’s reports is as follows:

5.1. The Charitable Foundation shall post reports on its activities and the use of Donations on The Website.

5.2. The Charitable Foundation may provide other information in accordance with the procedure and within the time limits provided for by the legislation of Ukraine.

6. Other Terms And Conditions:

6.1. The Benefactor independently determines the amount of the Donation.

6.2. All expenses related to the transfer of the Donation shall be borne by The Benefactor.

6.3. The Donation is voluntary and non-refundable.

6.4. The Benefactor is responsible for the accuracy of the information provided during the transfer of Donations.

6.5. In order to comply with the Law of Ukraine “On Personal Data Protection” and fulfill the terms of The Agreement, The Benefactor agrees to the processing of his/her personal data, in accord with all applicable laws, in order to fulfill the terms of The Agreement.

6.6. The relations between The Benefactor and The Charitable Foundation shall be governed by  Ukrainian law and legislation.

6.7. In case of disputes between the Parties to The Agreement, they shall be resolved through negotiations. If a negotiated settlement is not possible, disputes shall be considered by the courts in accordance with the procedure established by law.
